Terms of Service

These Terms of Service (“Terms”) govern your access to and use of BizRevu (“we,” “us,” or “our”), operated at bizrevu.com. By creating an account or using the Service, you agree to be bound by these Terms. If you do not agree, do not use BizRevu.

1. Acceptance of Terms

By accessing or using BizRevu, you confirm that you are at least 18 years old, have the legal authority to enter into these Terms, and, if using the Service on behalf of a business, have the authority to bind that business to these Terms. “You” refers to the individual user and, where applicable, the business entity on whose behalf the user is acting.

We may update these Terms from time to time. When we make material changes, we will notify you by email and update the “Last Updated” date above. Your continued use of BizRevu after a change constitutes acceptance of the updated Terms. If you do not agree with the changes, you must stop using the Service and cancel your account.

2. Description of Service

BizRevu is a software-as-a-service (SaaS) application that helps businesses manage and respond to Google reviews. The Service provides:

• Connection to your Google Business Profile via Google OAuth 2.0.
• Real-time monitoring of new Google reviews on your connected business locations.
• AI-generated draft responses to Google reviews, personalized to your business type and preferred tone.
• One-click approval and publishing of review responses directly to your Google Business Profile.
• Notifications when new reviews are posted to your business.
• A dashboard to view and manage all reviews and responses.

BizRevu does not guarantee any specific business outcome, increase in review rating, improvement in search ranking, or increase in customer volume. Results depend on many factors outside our control.

3. User Accounts and Responsibilities

3.1 Account Creation

To use BizRevu, you must create an account with a valid email address and a secure password. You are responsible for maintaining the confidentiality of your account credentials and for all activity that occurs under your account.

3.2 Account Accuracy

You agree to provide accurate, current, and complete information during registration and to update your information as necessary to keep it accurate. We reserve the right to suspend or terminate accounts with false or outdated information.

3.3 Google Business Profile Authorization

By connecting your Google Business Profile to BizRevu, you represent and warrant that you are the verified owner or an authorized manager of the Google Business Profile locations you connect, and that you have the authority to read reviews and publish responses on behalf of those locations.

3.4 Review of AI Responses

BizRevu generates AI-drafted review responses for your approval. You are solely responsible for reviewing and approving all responses before they are published to Google. By tapping “Approve,” you authorize the publication of that response and accept full responsibility for its content. BizRevu is not liable for responses you approve and publish.

3.5 Account Security

You must notify us immediately at hello@bizrevu.com if you suspect any unauthorized access to your account. We are not liable for any loss or damage arising from your failure to maintain the security of your account credentials.

4. Subscription and Billing

4.1 Pricing

BizRevu is offered as a single subscription plan at $59 per month (USD). This price includes unlimited AI-generated review responses, real-time review monitoring, one-click publishing, sentiment analysis, custom tone settings, and mobile notifications for your primary business location.

4.2 Free Trial

New users receive a 14-day free trial with full access to all features. No credit card is required to start the trial. If you do not add a payment method before the trial ends, your account will be downgraded to read-only access (you can view your dashboard and review history but cannot generate new AI responses or publish replies).

4.3 Payment Processing

All payments are processed securely by Stripe. By subscribing, you authorize Stripe to charge your payment method on a monthly recurring basis. BizRevu does not store your credit card number or bank account details.

4.4 No Contracts

BizRevu subscriptions are month-to-month with no long-term commitment. There are no setup fees, no cancellation fees, and no early termination penalties.

4.5 Price Changes

We may change our subscription price in the future. If we do, we will give you at least 30 days' written notice by email before the new price takes effect. You may cancel your subscription before the new price applies. Continued use after a price change constitutes acceptance of the new price.

4.6 Failed Payments

If a recurring payment fails, we will attempt to charge your payment method up to 3 times over a period of 10 days. We will notify you by email of the failed payment. If we are unable to collect payment after all retry attempts, your subscription will be canceled and your account will be downgraded to read-only access.

5. Cancellation Policy

5.1 How to Cancel

You may cancel your subscription at any time through your account settings or by emailing hello@bizrevu.com. Cancellation takes effect at the end of your current billing period. You will retain full access to the Service until that date.

5.2 Refunds

We do not provide prorated refunds for partial months. If you cancel mid-cycle, you will continue to have access for the remainder of the billing period you have already paid for.

5.3 Data After Cancellation

After cancellation, your account will be downgraded to read-only access for 30 days. During this period, you can export your data or reactivate your subscription. After 30 days, your account and all associated data will be permanently deleted in accordance with our Privacy Policy.

6. Google API Usage and Compliance

6.1 Google API Services

BizRevu accesses your Google Business Profile data through the Google Business Profile API. Our use of Google API services complies with the Google API Services User Data Policy, including the Limited Use requirements.

6.2 Limited Use Disclosure

BizRevu's use and transfer to any other app of information received from Google APIs will adhere to the Google API Services User Data Policy, including the Limited Use requirements. We only use Google Business Profile data to provide the review management functionality described in these Terms.

6.3 Revoking Google Access

You may disconnect your Google Business Profile from BizRevu at any time through your account settings. You may also revoke access from your Google Account permissions page. Disconnecting will immediately stop all review monitoring and response publishing for the disconnected locations.

6.4 Google Terms

Your use of Google services through BizRevu is also subject to Google's Terms of Service. BizRevu is not affiliated with, endorsed by, or sponsored by Google.

7. OpenAI Usage

7.1 AI-Generated Content

BizRevu uses the OpenAI API to generate review response drafts. By using the Service, you acknowledge that review responses are generated by artificial intelligence and may occasionally contain errors, awkward phrasing, or inappropriate suggestions. This is why every response requires your explicit approval before publication.

7.2 Data Sent to OpenAI

To generate review responses, BizRevu sends the review text, star rating, your business type, and your tone settings to the OpenAI API. We use the API with data retention disabled, meaning OpenAI does not use your data to train its models. See our Privacy Policy for full details.

7.3 No Guarantee of AI Quality

While we strive to produce high-quality AI responses, we do not guarantee that every AI-generated response will be suitable for publication without editing. You accept responsibility for reviewing and, if necessary, editing all AI-generated content before approving it.

8. Prohibited Uses

You agree not to use BizRevu to:

• Violate any applicable local, state, national, or international law or regulation.
• Publish fake, misleading, defamatory, or fraudulent review responses.
• Impersonate another person or business, or misrepresent your affiliation with a business.
• Connect Google Business Profile locations that you do not own or have authorization to manage.
• Use the Service to spam, harass, or abuse reviewers or any other individuals.
• Attempt to reverse-engineer, decompile, or extract the source code of the Service or its AI models.
• Circumvent, disable, or interfere with any security features of the Service.
• Use automated scripts, bots, or other tools to access the Service in a manner not authorized by us.
• Resell, sublicense, or redistribute access to BizRevu without our written consent.
• Use the Service to generate responses that contain hate speech, threats, personal attacks, or content that violates Google's review policies.

We reserve the right to suspend or terminate your account immediately, without notice, if we determine that you have engaged in any prohibited use.

9. Limitation of Liability

9.1 Disclaimer of Warranties

BizRevu is provided “as is” and “as available” without warranties of any kind, either express or implied, including but not limited to implied warranties of merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that the Service will be uninterrupted, error-free, or secure, or that any defects will be corrected.

9.2 Limitation of Damages

To the maximum extent permitted by applicable law, BizRevu and its officers, directors, employees, and agents shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, data, business opportunities, or goodwill, arising out of or related to your use of the Service, regardless of the theory of liability.

9.3 Cap on Liability

Our total aggregate liability to you for any and all claims arising out of or related to these Terms or the Service shall not exceed the total amount you have paid to BizRevu in the 12 months preceding the claim.

9.4 Google and OpenAI Availability

BizRevu depends on third-party services including Google APIs and OpenAI. We are not liable for any downtime, errors, or service interruptions caused by these third-party providers. If Google modifies or discontinues its Business Profile API, or if OpenAI modifies its API, we will make reasonable efforts to adapt the Service but cannot guarantee uninterrupted functionality.

10. Intellectual Property

10.1 BizRevu Ownership

The Service, including its design, code, features, logos, trademarks, and documentation, is owned by BizRevu and protected by copyright, trademark, and other intellectual property laws. These Terms do not grant you any ownership rights in the Service.

10.2 Your Content

You retain ownership of the content you create within BizRevu, including any edits you make to AI-generated responses before publishing. By using the Service, you grant BizRevu a limited, non-exclusive license to store, process, and transmit your content solely for the purpose of providing the Service.

10.3 AI-Generated Content

AI-generated review response drafts are created for your use within the Service. Once you approve and publish a response, you are responsible for that content. We do not claim ownership of published review responses.

10.4 Feedback

If you provide us with suggestions, ideas, or feedback about the Service, you grant us a perpetual, irrevocable, royalty-free license to use that feedback for any purpose, including improving the Service, without any obligation to you.

11. Indemnification

You agree to indemnify, defend, and hold harmless BizRevu and its officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, and expenses (including reasonable legal fees) arising out of or related to your use of the Service, your violation of these Terms, or your violation of any rights of a third party (including Google's terms or policies).

12. Dispute Resolution

12.1 Informal Resolution

Before filing any formal legal action, you agree to first contact us at hello@bizrevu.com and attempt to resolve the dispute informally for at least 30 days.

12.2 Arbitration

If informal resolution fails, any dispute arising from these Terms or your use of the Service shall be resolved through binding arbitration administered by the American Arbitration Association (AAA) under its Commercial Arbitration Rules. The arbitration shall take place in Wilmington, Delaware, USA, unless both parties agree to a different location or virtual proceedings. The arbitrator's decision shall be final and binding.

12.3 Class Action Waiver

You agree that any arbitration or legal proceeding shall be conducted on an individual basis and not as a class action, class arbitration, or other representative proceeding. You waive any right to participate in a class action against BizRevu.

13. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the State of Delaware, United States, without regard to its conflict of law provisions. Any legal action not subject to arbitration shall be brought exclusively in the state or federal courts located in Wilmington, Delaware.

14. Termination

14.1 Termination by You

You may terminate your account and these Terms at any time by canceling your subscription and deleting your account through your account settings, or by emailing hello@bizrevu.com.

14.2 Termination by Us

We may suspend or terminate your account and access to the Service at any time, with or without cause, with or without notice. Grounds for termination include but are not limited to violation of these Terms, non-payment, fraudulent activity, or abuse of the Service.

14.3 Effect of Termination

Upon termination, your right to use the Service ceases immediately. Sections 9 (Limitation of Liability), 10 (Intellectual Property), 11 (Indemnification), 12 (Dispute Resolution), and 13 (Governing Law) survive termination.

15. Miscellaneous

15.1 Entire Agreement

These Terms, together with our Privacy Policy, constitute the entire agreement between you and BizRevu regarding the Service and supersede all prior agreements and understandings.

15.2 Severability

If any provision of these Terms is found to be unenforceable, the remaining provisions will continue in full force and effect.

15.3 Waiver

Our failure to enforce any right or provision of these Terms shall not constitute a waiver of that right or provision.

15.4 Assignment

You may not assign or transfer these Terms without our prior written consent. We may assign these Terms without restriction.
